Responsibilities:Corporate Governance:Ensure compliance with corporate governance principles and regulations.Organize and attend board meetings, AGMs, and other corporate meetings.Draft and maintain accurate records of board resolutions and minutes.Legal Compliance:Keep abreast of changes in relevant laws and regulations affecting the company.Develop and implement compliance policies and procedures.Conduct internal audits to assess compliance levels.Regulatory Compliance:Monitor and ensure compliance with regulatory requirements from relevant authorities.Prepare and submit statutory filings and reports as required by law.Liaise with external legal counsel or regulatory bodies when necessary.Risk Management:Identify and assess legal and compliance risks.Develop strategies to mitigate risks and ensure the company's interests are protected.Company Secretarial Duties:Manage company records, registers, and filings with regulatory authorities.Facilitate communication between the board of directors, management, and shareholders.Ensure compliance with corporate laws and regulations governing the company's operations.Training and Awareness:Conduct training sessions to educate employees on compliance policies and procedures.Foster a culture of compliance and ethical behavior throughout the organization.
