Job Description

Reporting to: Vice President - Secretarial & Legal

Roles and Responsibilities:

1) Handling matters connected with Meetings of Shareholders and Board of Directors and other Internal Meetings of the Management;

2) Assisting in the work related with Amalgamation/Mergers/Demergers, etc. of various companies;

3) Responsible for compliance as required to be performed under the Companies Act, 2013, Listing Regulations, SEBI Act and Regulations, FEMA, etc;

4) Incorporation of Companies and filing various forms and documents with ROC under MCA-21

5) Co-ordination, monitoring and compliance with various Laws applicable on Group Companies; and

6) Liaison with Banks, Regulatory Authorities and various departments internally for Secretarial and Legal matters;

7) Drafting & Vetting of legal Agreements;

8) Memorandum of Understanding for entering into various business engagements/ ventures;

9) Drafting of minutes of meeting of Shareholders, Board of Directors and Committees thereof;

10) Drafting corporate documents for notarization, registration and notification; or drafting

agreements and resolutions and connected documents

Performance Skills

Excellent multitasking and analytical skills and ability to manage multiple projects and resources at the same time.

Interpersonal, organizational, communication and IT skills.

Good eye for detail and ability to prioritise time critical and conflicting tasks.

Ability to communicate clearly and confidently with clients and colleagues both verbally and in writing.

Comfort and confidence in dealing with staff at all levels

Self-motivated with inherent commitment to quality of work and ability to work in a team environment; and

Flexible approach to tasks with ability to think laterally.
